You dont have to max counter, more levels just make it do more damage, doesnt increase stun chance.
Skills which need to be maxed: Perfect block, yoyo mastery, enchant poison, critical swing, back step. the rest can be kept at the loewst req.
Stat wise, its up to how much you like pvp.
Pvp: 65 dex, 30 stam, rest str.
Pvm: 83 dex, 15 stam, rest str.
